TERMS AND CONDITIONS:-

Before using any MAKE SECURE PRIME services or applications, please read these Terms and Conditions carefully. These terms and conditions shall apply to the exclusion of all others including any terms and conditions of the Customer (whether on the Customer’s order form or otherwise). The Customer acknowledges that these terms and conditions constitute the whole agreement between the parties unless otherwise agreed in writing. By accessing, browsing, installing, or using any MAKE SECURE PRIME applications (including EMI Locker), you acknowledge and agree to the following:-

1. GENERAL INFORMATION

THE COMPANY: “the Company” shall mean Matrix Ideal Creative Pvt. Ltd. (CIN No. u72900wb2021ptc244676) registered address at Champahati, 24 Parganas South, Church Road, Kolkata, West Bengal, PIN – 743330 represented its Directors, successors and assigns (see mca.gov.in). This Company works as a Distributor, a Sub-Distributor and also as a Retailer.

PRODUCT: “Make Secure Prime” and “Make Secure Pro” is an EMI recovery and anti-theft tool which helps/supports the users/companies/individuals/retailers to secure the loan amount which has been provided.

APPLICATION/SUB-PRODUCT: The Application shall mean “EMI Locker” and “Anti-theft service”.

THE CUSTOMER: shall mean the entity which is applying for credit in the application attached overleaf. Customer can be Distributor/ Sub-Distributor/ Retailer/ Individual/ Users.

APP DEVELOPER: The Company develops this Product.

DOMAIN: The domain shall mean “https://makesecureprime.com/”.

SERVER: The server shall mean “AWS console server”.

2. PRICES:

Price of the product will be mentioned in the Proforma-Invoice after generating query about the quantities of the product.

3. PAYMENT:

Proforma-Invoice will be generated after confirmation of both the parties herein which contains bank details and payment link. After confirmation of the payment of the invoice amount, the customers can have the access to the product.

4. DELIVERY:

Delivery and/or access to the product shall be provided to the customer after confirmation and/or receipt of payment. Product once sold will not be taken back and/or exchanged.

5. SPECIFICATIONS OF THE PRODUCT & THE APPLICATION

LICENSE GRANT: MAKE SECURE PRIME and Make Secure Pro provides a limited, non-exclusive, non-transferable, non-sub-licensable license to use its services, including the EMI Locker application. This license is:

For personal or internal business use only.
Valid for use on mobile devices owned or controlled by the user.
MAKE SECURE PRIME and Make Secure Pro does not warrant compatibility with all devices.

PROHIBITED ACTIONS:

Modifying, reverse-engineering, decompiling, or tampering with the software.
Renting, reselling, leasing, or sublicensing the app.
Circumventing security mechanisms.
Removing any copyright or proprietary notices.

ANTI-THEFT SERVICE: MAKE SECURE PRIME offers security features including:

Real-time location tracking
SIM card number capture

EMI LOCKER COUPON POLICY (RENTAL):

Each coupon activates services for 6 months.
If a customer discontinues, they are granted 2 complimentary months.
Post-expiry reactivation charges: ₹2,100 + GST per month.

LOCKDOWN AND/OR DISABLE ACCESS: Camera, Map, Email, WhatsApp, Facebook, Instagram, YouTube, and others.

SOFTWARE UPGRADES: By using MAKE SECURE PRIME apps, you consent to automatic electronic upgrades. This Agreement applies to all future updates unless stated otherwise.

WARRANTY DISCLAIMER: All services and applications are provided on an "as is" basis.

IMPLIED WARRANTIES:

Merchantability
Fitness for a particular purpose
Non-infringement

NO GUARANTEES ON:

Accuracy
Reliability
Availability
Expected outcomes

“MAKE SECURE” apps should not be used as:

Emergency locator systems
Tools in life-critical or hazardous environments

THIRD-PARTY SERVICES DISCLAIMER: Our apps integrate with various third-party services (e.g., Google Sign-In, Firebase, Gmail API).

MAKE SECURE apps are not liable for:

Disruption or termination of any third-party service.
Consequences arising due to third-party APIs or platforms being modified, deprecated, or shut down.
If any third-party service used within the app becomes unavailable, MAKE SECURE is not responsible for the resulting unavailability of related features.
In case the company is dissolved or discontinues operations, all associated services and licenses shall cease to function, and MAKE SECURE shall not be held liable for any related consequences.

PRIVACY POLICY: By using MAKE SECURE apps, you consent to the use of:

Gmail login for authentication
Gmail API to send Alert Emails
Alert Emails include: Device location, Front camera photo, sent only when anti-theft is triggered.

MAKE SECURE apps do not:

Access or store user emails
Collect or sell user data
Use personal data for analytics or ads
Some features may use SMS; standard carrier charges may apply.

DEVICE ADMIN PERMISSION IS REQUIRED:

Detect failed unlock attempts
Lock the device screen
Trigger remote wipe (if configured)

PROHIBITED CONDUCT:

Use the app for illegal purposes
Track or monitor individuals without explicit consent
Tamper with security mechanisms
Deploy viruses or malware
Infringe upon intellectual property rights
Use automated tools (bots/scrapers)
Bypass authentication or app protection

RETAILER/CUSTOMERS NOTICE:

MAKE SECURE apps is strictly for authorized retailers/customers as an EMI recovery and anti-theft tool.
It is not designed or licensed for direct end-user or consumer use.
Retailers/customers are solely responsible for appropriate and legal app usage.
The company does not store customer data or bear liability for misuse.

LIMITATION OF LIABILITY: MAKE SECURE apps shall not be liable for:

Special, incidental, or consequential damages
Direct or indirect loss of data
Service unavailability
Misuse or unauthorized access
Business interruptions.
This applies regardless of cause, and survives termination of your account or license.

MODIFICATION OF TERMS:

MODIFICATION OF TERMS: MAKE SECURE apps reserves the right to modify these Terms at any time. Updated terms are effective immediately upon posting. Users are encouraged to review Terms periodically. Continued usage after changes implies consent.

DATA LOCATION:

DATA LOCATION: All data (if collected in future) will reside on secure Indian servers in accordance with the law as per the Information Technology Act, 2000 and relevant laws.

THIRD PARTY DEPENDENCIES APP INTEGRATES WITH SERVICE LIKE:

Google Sign-In
Firebase
Gmail API
Usage is subject to respective third-party terms and privacy policies

GDPR & DATASUBJECTS RIGHT (for EU/EEA Residents):

Right to access, rectify, delete data
Right to restrict or object to processing
Right to data portability
Right to lodge a complaint with relevant data authority

6. LEGALITIES

JURISDICTION: This Contract will be governed in all respects by the laws of the land, India, without regard to any conflicts. Any Party bringing a legal action or proceeding against any other Party arising out of or relating to this Agreement shall bring the legal action or proceeding in the Court of the Learned District Court, South24 Parganas, West Bengal, India.

CUSTOMER GUARANTEES:

Except as provided in these terms and conditions, all express and implied warranties under statute or general law as to merchantability, description, quality, suitability or fitness of the goods and services supplied for any purpose are expressly excluded to the fullest extent permitted by the applicable law.
All other conditions and warranties, statutory or otherwise and whether express or implied, are hereby excluded to the fullest extent permitted by the applicable law.

INDEMNITY

To the extent permissible by law, the Customer will indemnify the Company against any unauthorised express or implied warranty or representation under statute or general law.

LIMITATION OF LIABILITY

Nothing in this these terms and conditions shall limit or exclude the liability of the Company for any liability which is limited till the validity of the product as applicable by the law.

INTELLECTUAL PROPERTY

The Company shall retain the copyright of its product.

RIGHTS OF THE COMPANY TO DISPOSE OF GOODS AND SERVICES

The Company may dispose of the goods and may claim from the Customer any loss if not paid for within the terms of trade.

CHANGE OF OWNERSHIP

The Customer agrees to notify the Company in writing of any change of ownership within seven (7) days and indemnifies the Company against any loss as a result of the failure to notify.

CANCELLATION

Orders cannot be cancelled without written approval. If approved, the Company may charge a reasonable fee for processing and handling.

CONSENT TO CREDIT CHECK - PRIVACY ACT

Seek from or give to a Credit Reporting Agency personal information.
Contact any trade references or credit providers regarding the Customer’s credit worthiness.

FORCE MAJEURE

The Company will not be in default due to events beyond control (force majeure), including natural disasters, war, pandemic, government restrictions, etc.

TERMINATION:

Expiration of Rights: The term of Customer’s License to any Product will be 6 (six) months from the Start Date of the License (the “Term”), unless otherwise specified on the Order Form.
Expiration of this Contract: This contract will automatically expire and terminate upon the expiration of the last License provided under this Contract.
Effect of Expiration or Termination of Agreement: Upon any expiration or termination of this Agreement, all rights granted to Customer will immediately terminate, and the customer will have the right to immediately and indefinitely terminate Customer’s access to and use of the Product.
